Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (or the organization you represent) and Ghostbase, Inc. ("Ghostbase"). By signing up, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

Ghostbase provides tools to configure, deploy, and monitor AI agents that act across your existing business software. Features, limits, and pricing are described on our website and in your subscription plan. We may add, modify, or remove features from time to time as the Service evolves.

You are responsible for the security of your account, the accuracy of the information you provide, and all activity that happens under your credentials. Notify us immediately at support@ghostbase.ai if you suspect unauthorized access.

You agree not to use the Service to:

• Violate any law, regulation, or third-party right.
• Send spam, malware, or otherwise harmful content.
• Attempt to reverse engineer, probe for vulnerabilities, circumvent usage limits, or disrupt the Service.
• Build agents that deceive, harass, surveil, or cause harm to people.
• Process regulated data (e.g. protected health information, payment card data) unless we have agreed to it in writing.

We may suspend or terminate accounts that break these rules.

You retain all rights to the content you upload or generate through the Service ("Customer Content"). You grant Ghostbase a limited license to host, process, and transmit Customer Content solely to provide the Service to you. We do not use Customer Content to train foundation models. How we handle personal data is described in our Privacy Policy.

Agents are powered by large language models and other automated systems. Output can be inaccurate, incomplete, or unexpected. You are responsible for reviewing agent decisions before acting on them in production, especially in regulated or high-stakes contexts. Ghostbase provides oversight and approval tooling to help — use it.

The Service connects to third-party tools (e.g. Gmail, Slack, Salesforce, Stripe) that you authorize. Your use of those tools is governed by their own terms. We are not responsible for the availability, accuracy, or behavior of third-party services. Revoking a connection may break agents that depend on it.

Paid plans are billed in advance on a monthly or annual cycle. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before the next renewal. Taxes are your responsibility unless stated otherwise on your invoice. Usage in excess of plan limits may be billed at the posted overage rate.

These Terms apply for as long as you use the Service. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access immediately for material breach, security risk, or non-payment. Upon termination, sections that by their nature should survive (IP, disclaimers, limitations of liability, indemnity, governing law) will continue to apply.

Ghostbase and its licensors retain all right, title, and interest in and to the Service, including its software, branding, and documentation. No rights are granted to you other than the limited license to use the Service under these Terms.

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Ghostbase disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated output. We do not warrant that the Service will be uninterrupted or error-free.

To the fullest extent permitted by law, Ghostbase will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

You will defend, indemnify, and hold harmless Ghostbase from and against any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

We may update these Terms from time to time. Material changes will be announced by email or in-product at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. The exclusive venue for any dispute is the state or federal courts located in Delaware, and both parties consent to personal jurisdiction there.
